Corporate Structure
UPP was organised into a simplified Group structure during 2008. UPP Group Holdings Ltd (UPGHL) is the investment vehicle of the Group and is the company that determines the strategy and direction of the Group. It also acts as the direct interface with shareholders. The Board of UGHL sits on a quarterly basis.

UGHL receives dividend income from its subsidiary company UPP Group Limited (UGL) which is subsequently distributed to shareholders. UGL currently has three income streams:
- Development fees from UPP Projects Ltd (UPL)
- Asset management fees from UPP Residential Services Ltd (URSL)
- Returns from subordinated debt investments in each of the Special Purpose Vehicles (SPV’s) established
UPL, UPP Residential Services Ltd (URSL) and the SPVs are part of one group and have commonality of shareholdings and ownership. UPL is the subsidiary that handles project development and delivery, while URSL is responsible for all asset management services.

Our recent restructuring has seen a rationalisation and focusing of our business. It was an integral part of our business plan and provides a solid platform for building towards our strategic goals. We are now well placed to drive investment in high-quality student accommodation.
